TERMS OF SERVICE
Effective as of 21 October 2025
These Terms of Service (“Terms”) constitute a legally binding agreement between DIGITAL ALGORITHM SPC, a company registered in the Sultanate of Oman (the “Licensor”), and any individual or entity that accepts these Terms and wishes to connect a Telegram bot to the BonPlace service (the “Service”).
Such individual or entity is hereinafter referred to as the “Licensee”.
The Licensor and the Licensee are collectively referred to as the “Parties”, and each individually as a “Party”.
1. SUBJECT MATTER
1.1. The Licensor grants the Licensee a non-exclusive right to use the BonPlace Service to connect and operate a Telegram-based business card bot.
1.2. One license entitles the Licensee to connect one Telegram bot.
1.3. The connection and setup of the bot are carried out in accordance with the procedure established by the Licensor.
1.4. The Service may be used without territorial restrictions, in accordance with these Terms and the applicable laws of England and Wales.
1.5. The commencement of use of the Telegram bot shall constitute full and unconditional acceptance of these Terms by the Licensee.
2. USE OF THE SERVICE
2.1. The Licensee may use the Service in accordance with the type of license selected, subject to these Terms and applicable law.
2.2. The Licensee is required to test the Telegram bot after setup. Continued use constitutes acceptance of any modifications and confirmation of proper configuration.
2.3. The setup fee is determined by the Licensor and agreed with the Licensee before work begins.
2.4. Payment of the setup fee constitutes the Licensee’s acceptance of the quoted price and the terms of performance.
3. ASSIGNMENT OF RIGHTS
3.1. The Licensee may assign the rights under these Terms to another Telegram user once, unless otherwise agreed.
3.2. The assignment is valid only if the new user unconditionally agrees to these Terms.
3.3. The Licensee shall notify the Licensor and provide the details of the new user.
4. LICENSE TYPES AND PAYMENT
4.1. The current license types are published at: https://bonplace.com/en/price/
4.2. The license period begins on the next business day following the completion of bot setup.
4.3. Unless otherwise agreed, payment must be made in advance for each upcoming month. In case of late payment, the Licensor may suspend access to the Service.
4.4. Payment shall be made via the method specified by the Licensor.
4.5. The Licensor may modify the list of licenses by publishing updates no less than 14 days prior to their effective date.
4.6. The Licensor may offer a custom license price to a specific Licensee. Such pricing may differ from the publicly available rates depending on the scope of services, technical features, or individual arrangements. Acceptance of the proposed price is confirmed by payment or written confirmation.
4.7. If the Licensee fails to submit a written, reasoned complaint within three calendar days after the provision of services, such services shall be deemed duly rendered, under the agreed terms and in full compliance with the arrangements.
4.8. Recurring Payments:
If the selected license involves a recurring payment (e.g. monthly subscription), the Licensee agrees to automatic billing in advance of each subscription period using the payment method provided at the time of purchase. The Licensee may cancel the subscription at any time by providing written notice via email at least 7 days before the next billing date. No partial refunds will be issued for unused periods.

5. OWNERSHIP OF THE TELEGRAM BOT
5.1. If the Licensee does not have their own Telegram bot, the Licensor may create one on their behalf.
5.2. The Telegram bot may be transferred to the Licensee at any time after its creation, without any additional conditions.
5.3. Upon transfer, the Licensee assumes full responsibility for managing the bot.
5.4. The Licensee must maintain the confidentiality and security of access credentials to the Telegram bot.
6. LIMITATIONS AND WARRANTIES
6.1. The Service is provided “as is”. The Licensor does not guarantee that the Service will meet the Licensee’s purposes, expectations, or intended outcomes. The Licensee accepts the Service in its current form, acknowledging all factors that may affect its performance.
6.2. The Licensor shall not be liable for any direct, indirect, or consequential damages, including but not limited to loss of profit, data, or reputation.
6.3. The Licensor will attempt to resolve issues where possible but does not guarantee specific timeframes for corrections.
6.4. The Licensor is not liable for malfunctions caused by: — Telegram outages or errors; — hosting provider failures; — sanctions; — third-party interference.
6.5. The Licensor does not provide legal, marketing, or advertising consulting. Any materials provided are for informational purposes only.
7. CONFIDENTIALITY
7.1. The Parties agree to maintain the confidentiality of any information designated as confidential and obtained during the course of their cooperation.
8. DISPUTE RESOLUTION
8.1. The Parties shall seek to resolve disputes through negotiations.
8.2. Claims must be submitted in writing with clear justification and will be reviewed within 15 calendar days of receipt.
8.3. If an amicable resolution is not possible, the dispute shall be submitted to the competent courts of England and Wales.
9. TERM AND AMENDMENTS
9.1. These Terms enter into force upon publication on the website: https://bonplace.com/en/terms/
9.2. Use of the Service, as well as any payment under these Terms — including for setup, licensing, or support — shall constitute full acceptance by the Licensee.
9.3. The Licensor may amend these Terms unilaterally by publishing a new version. Continued use of the Service following publication shall constitute acceptance of the updated Terms.
9.4. Either Party may terminate this agreement by providing written notice 30 calendar days in advance.
9.5. Either Party may also terminate the agreement immediately in the event of a material breach of these Terms by the other Party.
10. ACCEPTANCE
10.1. Acceptance may occur through commencement of use of the Telegram bot, payment, or submission of a request for connection.
11. DATA PROCESSING
11.1. The Licensee consents to the processing of personal data in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
11.2. Processing includes the collection, storage, transfer, deletion, and use of data within the scope of the Service.
11.3. Purposes of processing include: — service provision; — notifications; — research; — improving user experience.
11.4. Data processed: full name, Telegram username, email, phone number.
11.5. Data will not be shared with third parties unless legally required.
11.6. Consent may be withdrawn upon termination of these Terms.
12. FINAL PROVISIONS
12.1. If any provision of these Terms is held invalid, the remainder shall remain in full force and effect.
12.2. These Terms supersede all prior arrangements, including written or oral agreements, messages, and correspondence (including messengers and email), related to the subject matter herein.
12.3. The relationship between the Parties is strictly business in nature.
12.4. All payments shall be made in the currency specified in the invoice. Each Party shall be responsible for its own tax obligations in accordance with its tax residency.
12.5. The Service shall be used solely for lawful purposes. The Licensee is fully responsible for any content published via the Telegram bot.
12.6. DIGITAL ALGORITHM SPC does not provide telecommunication services and does not offer internet access.
12.7. All annexes and attachments form an integral part of these Terms.
12.8. These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
